A domiciliation contract in hand, the registration validated at the commercial court registry: and yet the bank drags its feet, asks for extra documents, or simply refuses to open the account. Many business owners registered at a business center know this scenario well. It does not mean domiciliation is a problem in itself: it mainly reveals that the banking file of a domiciled company follows precise rules that are often poorly anticipated. Here is how to master them in 2026.
Professional bank account: who is actually required to open one in 2026
Before discussing documents and refusals, one point deserves clarification: the obligation to open a professional account does not apply the same way to every legal structure.
Commercial companies: an obligation from the moment of incorporation
For commercial companies (SARL, SAS, EURL, SASU in particular), Article L123-24 of the French Monetary and Financial Code requires a dedicated bank account, separate from the director's personal account, as soon as the share capital is deposited. This obligation is not negotiable: without this account, the registration itself is blocked, since the capital deposit is a prerequisite for it.
Sole traders and micro-entrepreneurs: an obligation tied to turnover
For sole traders and micro-entrepreneurs, the rule is different: opening an account dedicated to the business becomes mandatory only once turnover exceeds 10,000 € for two consecutive calendar years. The owner then has twelve months to comply. Below that threshold, a separate account remains strongly recommended for bookkeeping clarity, but it is not mandatory.
Documents to prepare when the registered office is domiciled
Whether it is a new company or a bank switch, the file of a company domiciled at a business center includes one document that banks examine with particular attention: the domiciliation contract.
The domiciliation contract, the centerpiece of the file
The bank checks that this contract comes from a domiciliation provider approved by the local prefecture, a condition set out in Article L123-11-2 of the French Commercial Code. A contract signed with an unapproved provider, or a domiciliation address used without a proper contract, is among the leading reasons a file gets blocked. Even before approaching a bank, it is therefore worth checking that your domiciliation provider actually holds this approval.
The other documents banks expect
Beyond the domiciliation contract, the bank generally asks for a valid ID document from the director(s), the signed and dated articles of association for a company, proof of registration (SIREN or SIRET number, sometimes a Kbis extract depending on the institution) and a precise description of the business activity. One often overlooked point: since January 1, 2023, the Kbis extract, the D1 extract, or the INSEE Sirene registration certificate are no longer mandatory documents for opening a professional bank account. The SIREN number is theoretically enough, even though some traditional banks still ask for it out of habit.
Why banks are more cautious with domiciled companies
It is not domiciliation itself that concerns banks, it is the risk they associate, rightly or wrongly, with certain domiciled files. Banking institutions are subject to enhanced due diligence obligations against money laundering, set out in Articles L. 561-5 and L. 561-6 of the Monetary and Financial Code. A domiciliation address, easier to obtain than a traditional commercial lease, has in the past been used in fraudulent schemes: it is this history that pushes some banks to scrutinize these files more closely, not a blanket ban. A commercial domiciliation address therefore never legally prevents the opening of a professional account, provided the contract and supporting documents are compliant.
Five habits that reduce the risk of refusal
- Choose an approved and recognized domiciliation provider, one already known to partner banks, rather than a structure the bank has never heard of.
- Prepare a complete file from the first appointment: articles of association, ID document, domiciliation contract, a detailed description of the activity and, where possible, a simple financial forecast.
- Anticipate questions about the actual business activity: the more a sector is perceived as sensitive (import-export, crypto-assets, financial activities), the deeper the bank's checks will go, without this calling into question the legitimacy of the project.
- Avoid inconsistencies between documents: a domiciliation address that differs from the one stated in the articles of association or the registration is an immediate red flag for the bank's analyst.
- Compare several institutions, since traditional banks and professional neobanks have very uneven policies toward domiciled companies.
What to do in case of refusal: the right to an account, step by step
A bank has the right to refuse to open a professional account without having to justify its commercial decision. It must nonetheless issue a written refusal certificate within 15 days of the request. This certificate is the key to activating the right to an account, provided for in Article L. 312-1 of the Monetary and Financial Code:
On presentation of the refusal certificate, the Banque de France designates an account-holding institution, generally within one business day; that institution then has three days to actually open the account.
The account opened this way offers basic banking services: deposits, transfers, withdrawals, and a payment card with systematic authorization. It is not a stripped-down account, but a functional one that lets the business start operating while the owner negotiates, in parallel, a fuller offer with another institution.
Special cases: SASU, SCI, and changing domiciliation provider mid-course
Some situations call for specific attention.
